End User License Agreement

DRAFT, NOT LEGAL ADVICE. This draft has not been reviewed by a lawyer and must not be relied on or published as final until it has been. Bracketed items such as [LEGAL ENTITY], [ADDRESS], [JURISDICTION] and [SUPPORT EMAIL] are placeholders, and "Drafting note" lines are questions for the owner and the lawyer; remove both before publishing. This EULA replaces the earlier source-available licence draft (formerly docs/LICENSE_DRAFT.md), which no longer applies because Vibe Motion is now proprietary.

Version: Draft, 2026-10-16 · Effective date: [EFFECTIVE DATE]

This End User License Agreement ("EULA") is an agreement between you and [LEGAL ENTITY], trading as ME Core Labs, [ADDRESS] ("ME Core Labs", "we", "us"). It covers the Vibe Motion desktop application. By installing, copying or using Vibe Motion you agree to this EULA. If you do not agree, do not install or use it.

If you accept this EULA on behalf of an organisation, you confirm that you are authorised to bind it, and "you" includes that organisation.

1. Definitions

2. Licence

Subject to this EULA, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide licence to download Official Builds, install them on any number of computers that you own or control, and use the Software for any lawful purpose, including commercial purposes. Examples are paid DJ performances, bars, clubs and venues, events, installations, broadcasts and monetised streams.

3. Free of charge

The Software is free of charge. You do not need an account, a licence key or any payment to download, install or use it, and every feature of the Software, including all of its backgrounds, is available to you under Section 2.

4. Output and commercial use

4.1 You may record, broadcast, stream, publish and otherwise use the Output for any lawful purpose, including commercial purposes. Credit ("Visuals: Vibe Motion") is appreciated but not required.

4.2 We claim no ownership of the Output. To the extent that we hold any rights in the Output, we grant you a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose. This licence survives the end of this EULA.

4.3 The Software reacts to whatever audio your computer plays. You are responsible for having the rights you need in the music and any other content that you play, record or publish together with the Output.

5. Restrictions

Except as expressly allowed in this EULA, or to the extent that applicable law gives you a right that cannot be excluded by contract (for example the right to decompile for interoperability under Article 6 of EU Directive 2009/24/EC, or the right to make a back-up copy), you may not:

a. copy the Software, except to install it as allowed in Section 2 and to make a reasonable number of back-up copies;

b. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, shaders, or underlying structure of the Software;

c. modify, adapt, translate, or create derivative works of the Software;

d. circumvent, disable, or tamper with any technical protection in the Software, such as the verification of its updates;

e. distribute, publish, sell, rent, lease, lend, sublicense, host, mirror, or otherwise make the Software or its installers available to anyone else. Link to https://vibemotion.mecorelabs.com/download instead;

f. extract the Software's backgrounds, shaders, palettes, images or other assets, or reuse them in any other product, service or project;

g. remove, change, or hide copyright notices, licence notices, or the in-app credits (the startup splash and the About screen);

h. use the Software or any part of it, including its code, shaders, assets and documentation, to train, fine-tune, evaluate, or otherwise develop machine-learning or artificial-intelligence models, or to build datasets for that purpose;

i. use the name "Vibe Motion" or its logos to identify any other product or service;

j. interfere with, overload, or attempt to gain unauthorised access to our websites, servers or update services, including by automated or scripted requests; or

k. use the Software in breach of any law, or in a way that infringes anyone else's rights.

Drafting note: Section 5(h) covers the Software, not the Output (Section 4 lets you use Output for any purpose). Decide whether training on Output should also be excluded.

6. Donations

6.1 You can support Vibe Motion with a voluntary donation on Ko-fi (https://ko-fi.com/mecorelabs). The Software's Donate buttons only open that page in your web browser.

6.2 A donation is a voluntary gift. It is not a payment for the Software, it does not unlock or change any feature, and it gives you no additional rights under this EULA. Not donating changes nothing either.

6.3 Donations are made on Ko-fi and processed by Ko-fi and its payment providers under their own terms and privacy policies. Questions about a donation's payment go to Ko-fi; you can also contact us at [SUPPORT EMAIL].

Drafting note: confirm how donations (and any refund request) are treated under Ko-fi's terms and the consumer and tax law of [JURISDICTION], and whether this Section should say more or less.

7. Installation, updates and security

7.1 Unsigned installers. Official Builds are not code-signed. Windows SmartScreen and macOS Gatekeeper therefore warn you the first time you open them; the download page explains how to continue. Download the Software only from https://vibemotion.mecorelabs.com/, and compare the SHA-256 checksum shown on the download page if you want to confirm that your copy is genuine.

7.2 Automatic updates. The Software checks for updates about 30 seconds after it starts and then about once a day. It downloads a newer Official Build in the background, verifies its cryptographic signature, and installs it when you choose "Restart to update" or when you quit the Software. It never restarts during a fullscreen show or while wallpaper mode is on.

7.3 Permissions on macOS. On macOS the Software needs the "System Audio Recording" permission to hear what your Mac plays. Because the Software is not code-signed, macOS may ask for this permission again after each update.

7.4 Changes. Updates may add, change or remove features. We are not obliged to provide updates, new features or support, except where applicable law requires us to (for example updates needed to keep digital content in conformity for consumers). Updates are part of the Software and are governed by this EULA.

8. Privacy

The Software analyses audio only on your computer. It sends no analytics or telemetry. It connects to our servers only to check for and download updates, and it opens web pages (such as the Donate page on Ko-fi) only when you click a link. Details are in the Privacy Policy.

9. Third-party components

The Software includes third-party open-source components that are licensed to you under their own licences (for example the MIT License, the Apache License 2.0, BSD licences and the Mozilla Public License 2.0). They are listed in the Software's About screen, under "Third-party licenses". Those licences govern those components, and nothing in this EULA limits your rights under them.

10. Photosensitivity and safe use

The Software produces flashing and rapidly changing visuals. Its "Flash safety" setting is on by default and limits large flashes, but it cannot remove all risk. You are responsible for using the Software safely, especially in public, including warning audiences about photosensitive content where appropriate. Do not use the Software where a failure could cause death, injury, or damage to property.

11. Ownership

The Software is licensed, not sold. We and our licensors own all rights in the Software, including copyright and trade marks. All rights not expressly granted in this EULA are reserved. This EULA gives you no rights in the "Vibe Motion" or "ME Core Labs" names or logos.

If you send us ideas or feedback, we may use them without any obligation to you.

12. Termination

12.1 You may end this EULA at any time by uninstalling the Software.

12.2 If you breach this EULA, your rights under it end automatically. If it is your first breach and you fix it within 30 days of receiving notice from us, your rights are reinstated.

12.3 When this EULA ends, you must stop using the Software and uninstall it. Output that you created before then remains yours to use (Section 4). Sections 4.2, 5, 11, 13, 14, 15 and 17 survive.

13. Disclaimer of warranties

Your statutory rights as a consumer, including rights in digital content that is faulty or not as described, are not affected by this Section.

Subject to those rights, and to the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will run without interruption or errors, that it will work with every computer, graphics card or audio device, or that our websites and update services will always be available.

14. Limitation of liability

14.1 Nothing in this EULA limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

14.2 Subject to Section 14.1, and to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Software or this EULA, however caused.

14.3 Subject to Section 14.1, our total liability arising out of or in connection with the Software and this EULA is limited to [AMOUNT AND CURRENCY]. The Software is free of charge, and donations (Section 6) do not increase this limit.

Drafting note: consumer law in some countries does not allow some of these limits; the lawyer should adapt Sections 13 and 14 to the countries where Vibe Motion is offered.

15. Governing law and disputes

This EULA is governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have [exclusive / non-exclusive] jurisdiction over disputes arising from it. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in its courts.

16. Changes to this EULA

We may update this EULA, for example when we add features or when the law changes. We will publish the new version at https://vibemotion.mecorelabs.com/legal/eula, and tell you in the Software or on the website about material changes before they take effect. If you keep using the Software after a change takes effect, the new version applies.
